Terms, conditions, and obligations governing Affiliate and Reseller partnerships

Part 1: Program Overview & Partnership Models

1. Introduction

This Partner Program Agreement ("Agreement") sets forth the terms and conditions governing participation in the Tracksales Partner Program. Tracksales is a product of Bunilogic Ventures Limited ("we," "our," or "us") and it offers two partnership models: the Affiliate Partner Program and the Reseller Partner Program. By applying for or participating in either program, you agree to be bound by this Agreement.

The Affiliate Partner Program is for individuals or organizations that refer customers to Tracksales. The Reseller Partner Program is for organizations that manage the full customer lifecycle, including sales, onboarding, support, and billing. Each program has distinct responsibilities, commission structures, and obligations as detailed in this document.

2. Partnership Models

Part 2: Affiliate Partner Program

3. Program Overview

Affiliate Partners refer businesses to Tracksales and earn commissions when those businesses become paying customers. Affiliate Partners do not handle sales closing, onboarding, billing, or support. The customer relationship is owned by Tracksales.

3.1. Affiliate Partner Obligations

Affiliate Partners must:

  • Promotion: Use the unique, trackable referral link provided for all promotions. Affiliate links must be used on websites, blogs, social media, email newsletters, and other promotional channels.
  • Attribution: Ensure that every sign-up and subsequent subscription is accurately attributed to the affiliate account through correct use of referral links.
  • Representation: Represent Tracksales, its features, and pricing accurately in accordance with materials provided by Tracksales.

Tracksales Responsibilities: Tracksales manages the entire post-signup lifecycle for referred customers, including onboarding, account setup, direct billing, invoicing, payment collection, technical support, product training, and account management.

3.2. Affiliate Partner Commission Structure

  • Base Commission Rate: Affiliate Partners earn a 15% recurring commission on the monthly subscription value for each customer they refer.
  • Commission Duration: Commissions are paid for 12 consecutive months from the date the referred customer first becomes a paying subscriber.
  • Eligibility: Commissions are generated only from active, paid subscriptions. If a customer cancels or downgrades to a free plan, commission payments for that customer will cease immediately. If a customer upgrades, your commission will be calculated on the new, higher subscription value going forward.

3.3. Referral Attribution

  • Referrals are tracked through unique affiliate links and browser cookies.
  • Tracksales applies a 30-day referral attribution window. If a user signs up within thirty (30) days of clicking an affiliate referral link, the referral will be credited to that affiliate.
  • Tracksales reserves the right to determine final referral attribution in cases of conflicting referral data.

3.4. Affiliate Partner Payment Terms

  • Calculation Period: Commissions are calculated monthly based on all eligible payments received from your referred customers during that calendar month.
  • Payout Date: All commission payments for the previous month are processed in bulk on the 5th day of the following month.
  • Example: Commissions earned in March will be calculated on April 1st and paid on April 5th.
  • Payment Methods: Payments are issued via PayPal, Bank Transfer, Wise, or M-Pesa depending on your location and preference. A minimum payout threshold of $50 or Kshs 5,000 may apply.
  • Tracking & Reporting: Partners have 24/7 access to the Tracksales Partner Portal, where they can view real-time analytics on clicks, referrals, conversion rates, pending commissions, and payment history.

3.5. Self-referral Restriction

Affiliates may not refer themselves, their own company, or any business entity they control for the purpose of generating commissions.

Any attempt to generate commissions through self-referrals, fake companies, or artificially created accounts will result in immediate termination of the Affiliate Agreement and forfeiture of unpaid commissions.

3.6. Registration

  • Applicants must complete the online application form available in the Tracksales Partner Portal. The application requires information about the applicant or organization and promotional channels.
  • Upon approval, the applicant receives a confirmation email and access to the Partner Portal, including referral links and marketing assets.

Part 3: Reseller Partner Program

4. Program Overview

The Reseller Partner Program is for organizations that integrate Tracksales into their service offerings. Resellers assume responsibility for the full customer lifecycle, including sales, onboarding, support, and optionally billing.

4.1. Reseller Partner Obligations

Reseller Partners must:

  • Sales & Business Development: Identifying and prospecting potential clients for Tracksales. Conducting product demonstrations, negotiating contracts, and closing deals. Clearly communicating the value proposition and pricing structure to clients.
  • Customer Onboarding & Training: Managing the entire account setup process for new clients. Providing personalized training sessions to ensure clients can effectively use the platform. Assisting with initial configuration, data migration (if applicable), and integration setup.
  • Customer Support & Success: Acting as the dedicated first line of support for all client inquiries. Troubleshooting common issues and answering questions about product usage. Proactively monitoring client health and engagement to ensure high satisfaction and retention. Escalating complex technical issues or bugs directly to the Tracksales technical support team with all relevant context.
  • Account Management: Maintaining the primary relationship with the client throughout their lifecycle. Conducting regular check-in meetings to review success metrics and gather feedback. Managing contract renewals and any upsell opportunities.

4.2. Reseller Partner Revenue Structure

  • Base Commission Rate: Reseller Partners earn a recurring commission of up to 40% on the subscription revenue generated from their managed clients.
  • Commission Tiers: The exact commission rate is performance-based and can vary depending on factors such as: Volume of Active Customers (partners with a larger portfolio may qualify for higher tiers); Partnership Tier (Bronze, Silver, Gold based on commitment and performance); Strategic Value (unique partnerships may be eligible for custom commission structures).
  • Additional Revenue Streams: Resellers may set their own pricing for the Tracksales platform (including markup beyond the base subscription fee), bundle Tracksales with consulting, development, or managed services, and charge fees for setup, training, customization, or premium support. The base Tracksales subscription fee must be covered.

4.3. Reseller Billing Models

Direct Billing by Tracksales (Revenue Share Model):

  • Process: Tracksales bills the end customer directly each month. The customer pays Tracksales.
  • Payout: Commission is paid on the 5th of the following month, consistent with the Affiliate Program schedule.

Partner Managed Billing (Wholesale / Agency Model):

  • Process: The reseller bills the client directly. The reseller controls invoicing, pricing, and collection.
  • Platform Fee: The reseller is responsible for paying Tracksales the wholesale base subscription fee for each client.

4.4. Reseller Partner Payment Terms

  • Direct Billing by Tracksales: Commission payments follow the same schedule as the Affiliate Program, with monthly calculations and payout on the 5th of the following month.
  • Partner Managed Billing: The reseller collects payment from clients. The reseller must pay Tracksales the base subscription fees in accordance with the Reseller Agreement, typically via monthly invoice from Tracksales.

Part 4: Shared Resources & Obligations

5. Partner Portal

Upon acceptance into either program, partners are granted access to the Tracksales Partner Portal. The portal provides:

  • Dashboard: A high-level overview of your performance, including clicks, referrals, active customers, and estimated earnings.
  • Referral & Customer Tracking: Detailed lists of all referred leads and customers, along with their sign-up status, subscription plan, and current lifetime value.
  • Commission Reports: View detailed, exportable reports of your monthly commissions, including a breakdown by customer.
  • Payment History: Access your complete payment history and download invoices or payment receipts.
  • Marketing Central: A library of co-brandable marketing resources, including product brochures, case studies, email templates, logo and brand guidelines, and social media assets.

6. Code of Conduct & Brand Guidelines

All partners must adhere to the following:

  • Accurate Representation: Represent Tracksales, its features, and pricing accurately and honestly. Misleading claims or false advertising are strictly prohibited.
  • Brand Compliance: Use Tracksales logos, trademarks, and brand assets in accordance with official Brand Guidelines. Unauthorized modifications are not permitted.
  • Ethical Marketing: The use of spam, unsolicited bulk email, misleading advertising (e.g., bidding on Tracksales trademarks in pay-per-click ads without permission), or any unethical promotional practices is grounds for immediate termination.
  • Professional Conduct: All interactions with potential and existing customers must be conducted professionally and in accordance with applicable laws.

Tracksales reserves the right to monitor partner activities and to suspend or terminate any partnership, withholding any unpaid commissions, if Tracksales determines, in its sole discretion, that a partner has violated these standards or acted in a manner detrimental to Tracksales, its brand, or its customers.

Part 5: Termination Procedures

7. Termination, Intervention, and Client Takeover

7.1. Termination of the Partner Agreement

If the agreement between Tracksales and the partner is terminated for any reason, Tracksales may revoke access and cease commission payments. For resellers, Tracksales has the right to offer the reseller's clients continued, direct access to the platform, take over responsibility for maintaining client data, and offer clients the option to convert to a direct subscription at standard retail rates.

Termination may occur in the following instances:

7.1.1. Material Breach

Tracksales may terminate if the partner commits fraudulent activity (including self-referrals, fake sign-ups, cookie stuffing, or commission manipulation), fails to fulfill financial obligations, fails to provide contracted support (resellers), or repeatedly provides inaccurate information. Termination may occur immediately for fraud without a cure period. For resellers, if the breach affects a specific client, Tracksales may also activate direct support for that client, communicate to correct misinformation, or offer the client the option to move to a direct relationship.

7.1.2. Insolvency or Business Closure

If the partner declares bankruptcy, ceases operations, or fails to pay Tracksales, Tracksales may terminate the agreement. For resellers, Tracksales may also initiate an emergency transition process, contact affected clients directly, take over billing, and make the Tracksales support team the primary point of contact.

7.1.3. Violation of the Partner Code of Conduct or Brand Guidelines

Tracksales may terminate if the partner uses misleading or deceptive marketing, spam, unsolicited bulk email, misleading advertising (e.g., bidding on Tracksales trademarks in pay-per-click ads without permission), creates websites or advertisements that impersonate Tracksales, or otherwise violates the Code of Conduct. Violations may result in immediate termination. For resellers, Tracksales may also contact affected clients directly to clarify terms of service, correct misleading statements, and ensure they have accurate information. Tracksales may review agreements between the reseller and client to ensure they do not conflict with Tracksales's terms of service.

7.1.4. Violation of Laws and Regulations

Tracksales will terminate if the partner uses the program in connection with illegal activities, promotes in violation of advertising regulations, markets within sanctioned jurisdictions, or uses the program as part of fraudulent schemes. Tracksales reserves the right to report such activities to relevant authorities.

7.1.5. Inactivity (Dormant Account Termination)

A partner account will be considered dormant if the partner fails to generate qualifying activity within any consecutive twelve (12) month period. For affiliates, qualifying activity requires at least one successful referral resulting in a paying customer. For resellers, qualifying activity requires the addition of at least one active client to the partner account. Tracksales will provide written notice at least thirty (30) days prior to termination. During this notice period, the partner may restore active status by meeting the qualifying activity requirement. Commissions earned prior to termination but not yet paid will be issued according to the standard schedule, provided that referred or managed customers remain active.

7.1.6. Termination for Convenience

Tracksales reserves the right to terminate the Partner Agreement at its sole discretion by providing thirty (30) days written notice. During the notice period, the partner may continue to operate under the agreement unless otherwise instructed. Upon termination, the partner will no longer earn commissions on new referrals or clients, access will be revoked, but commissions earned prior to termination will be paid according to the standard schedule if referred or managed customers remain active.

7.2. Effects of Termination

Part 6: Contractual Frameworks

8. Limitation of Liability

Tracksales shall not be liable for indirect, incidental, special, or consequential damages arising from participation in the Partner Program. This includes loss of revenue, data, or business opportunities.

9. Governing Law

This agreement shall be governed and interpreted under the laws of Kenya, unless otherwise specified in a separate written agreement.

Part 7: Application Process

10. Registration

Applications are submitted through the Tracksales Partner Portal at https://partner.tracksales.co/register. The application process is as follows:

  1. Select the program (Affiliate or Reseller) for which you are applying.
  2. Complete the application form with accurate information about your business and promotional methods.
  3. Submit the application for review. Tracksales typically responds within 2–3 business days.
  4. Upon approval, the applicant receives a confirmation email with instructions for accessing the Partner Portal.
